Welcome to asaauto.com (the “Site”), operated by ASA Automotive Systems, Inc. (“ASA,” “we,” “us,” or “our”), a Leo Motion Group company. These Terms and Conditions (“Terms”) govern your access to and use of the Site, including any content, functionality, and information offered on or through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Scope of These Terms
These Terms apply only to your use of the Site itself — browsing pages, requesting information, using on-site tools (such as the ROI Calculator), and submitting forms (such as meeting or demo requests) — and to any sample text messages you receive during an ASA product demonstration. They do not govern your purchase or use of ASA products or services, including TireMaster, GTX, Cornerstone, OMNI DVI, OMNI Inventory, or ASA Digital. Access to and use of those products and services is governed by a separate agreement between ASA and the applicable customer (for example, a master services agreement, order form, or license agreement), which controls in the event of any conflict with these Terms.
2. Eligibility and Acceptance
The Site is intended for business and professional use by individuals who are at least 18 years old and are acting on behalf of, or in connection with, a business in the tire, automotive service, or related industries. By using the Site, you represent that you meet these requirements and have the authority to agree to these Terms on behalf of yourself or the organization you represent.
3. Use of the Site
Subject to your compliance with these Terms, ASA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and business evaluation purposes. You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
- Reproduce, duplicate, copy, sell, resell, scrape, or otherwise exploit any portion of the Site or its content, or use any portion of the Site or its content to train, develop, or improve any artificial intelligence or machine learning model, without ASA’s prior written consent;
- Use any automated system (bots, spiders, scrapers) to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period;
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or computer systems or networks connected to the Site;
- Introduce viruses, malware, or other harmful code, or otherwise interfere with or disrupt the Site’s operation;
- Submit false, misleading, or fraudulent information through any form on the Site (including demo, meeting, or contact requests); or
- Use the Site to build or support a product or service that competes with ASA.
4. Intellectual Property
The Site and all content on it — including text, graphics, logos, images, videos, software, page layout, and the compilation and arrangement thereof — are the property of ASA or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. “ASA,” “TireMaster,” “GTX,” “Cornerstone,” “OMNI,” “OMNI DVI,” “OMNI Inventory,” “ASA Digital,” and associated logos are trademarks of ASA Automotive Systems, Inc. and/or its affiliates. Nothing on the Site should be construed as granting any license or right to use any trademark without ASA’s prior written permission. All other trademarks appearing on the Site are the property of their respective owners.
5. Information on This Site
ASA provides information on the Site — including product descriptions, statistics, testimonials, pricing information (where shown), and blog or resource content — for general informational purposes only. While we work to keep this information accurate and current, ASA makes no representation or warranty that any content on the Site is complete, accurate, reliable, current, or error-free. Product features, availability, and specifications are subject to change without notice. Any figures or statistics presented (such as customer counts or usage numbers) reflect data as of the date published and may not be current at the time you view the Site.
6. Testimonials and Endorsements
Testimonials, quotes, and endorsements appearing on the Site reflect the individual experiences and opinions of the customers identified and are used with their permission. They are not necessarily representative of the experience of all ASA customers, and individual results may vary. Where a person providing a testimonial has received compensation, discounts, free products, or services, or has another material connection with ASA, we will disclose that connection.
7. Third-Party Links and Integrations
The Site may contain links to third-party websites, partner or integration pages, or social media platforms that are not owned or controlled by ASA. We provide these links for your convenience only and do not endorse, and are not responsible for, the content, products, services, or privacy practices of any third-party site. Accessing any linked third-party site is at your own risk and subject to that site’s own terms and policies.
8. Forms, Meeting Requests, and Communications
When you submit a form on the Site (for example, to request a meeting, demo, or support), you consent to ASA contacting you using the information you provide for purposes related to your request. Where permitted by applicable law or where you have separately consented, ASA may also send you information about our products and services, subject to our Privacy Policy. Text messages are sent only as described in Section 9. You may opt out of marketing communications at any time using the unsubscribe instructions provided or by contacting us directly.
9. SMS and Text Messaging Communications
ASA uses text messaging (SMS/MMS) only to demonstrate the messaging features of its products during live product demonstrations with prospective and existing business customers in the United States and Canada. During a demonstration, an ASA sales representative may ask whether you agree to receive sample text messages at a mobile number you provide. If you agree, ASA will record your consent in its demonstration system, and the representative may send you one or more sample messages that simulate what an automotive service business could send to its own customers (for example, “Bob, your vehicle is ready for pick-up” or “Thank you for visiting our shop today!”). These sample messages are sent solely to demonstrate product functionality. ASA does not use this program to send marketing or promotional messages, and you will not be added to any marketing list as a result of participating. Consent to receive demonstration messages is optional and is not a condition of purchasing any product or service.
- Message frequency is limited to the sample messages sent during your demonstration. Message and data rates may apply, and you are responsible for any such charges from your mobile carrier.
- You may opt out at any time by replying STOP to any message or contacting us directly at info@asaauto.com or (800) 241-8472. ASA will honor any opt-out request. If you reply STOP, you will receive a one-time confirmation, and no further messages will be sent unless you opt in again.
- For help, reply HELP to any message, or contact us at info@asaauto.com or (800) 241-8472.
- Carriers are not liable for delayed or undelivered messages. We are not responsible for any delays or failures in the receipt of any text message, as delivery is subject to effective transmission from your network operator.
- Supported carriers may change without notice, and ASA is not liable for messages that are not received due to carrier network issues, changes, or limitations.
ASA sends these messages through its third-party messaging service provider, which processes your mobile number only to deliver messages on ASA’s behalf. See our Privacy Policy for more on how we handle your information.
10. Privacy
Your use of the Site is also subject to ASA’s Privacy Policy, available at asaauto.com/privacy-policy, which describes how we collect, use, and protect information submitted through the Site. Please review the Privacy Policy to understand our practices.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ASA DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SITE, INCLUDING ANY ROI CALCULATOR RESULTS, WHICH ARE ESTIMATES ONLY AND NOT A GUARANTEE OF ACTUAL RESULTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ASA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ASA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless ASA and its affiliates, officers, directors, employees, and agents from and against any third-party claims, and related liabilities, damages, losses, and expenses (including reasonable attorneys’ fees), arising out of or relating to your misuse of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
14. Termination
ASA reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to all or part of the Site, at any time and without notice, for any reason, including if we believe you have violated these Terms.
15. Changes to These Terms
ASA may revise these Terms from time to time. The updated version will be indicated by a revised “Effective Date” at the top of this page. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on the Site. Your continued use of the Site after any changes take effect constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.
17. Miscellaneous
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect. These Terms, together with the Privacy Policy and the SMS/text messaging terms in Section 9, constitute the entire agreement between you and ASA regarding use of the Site and supersede any prior agreements regarding the Site. ASA may assign these Terms without your consent, and you may not assign these Terms without ASA’s prior written consent. ASA’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
